YUNERO NFT
LICENSE AGREEMENT
This Yutaka NFT License Agreement is a legally binding agreement between Yunero Studios and you. When you obtain a Yutaka NFT, you own every personal, intellectual property right to the purchased NFT (e.g., the right to freely resell on the NFT marketplace, transfer, duplicate or otherwise dispose of that NFT). However, you do not own the associated artwork, trademark, or other intellectual property related to that Yutaka NFT besides the rights granted below.
DEFINITIONS
"Yutaka NFT means every NFT created, branded, or themed by or on behalf of Yunero Studios
Yutaka Art means every digital creation, artwork, design, and image created by and first released to the public by creators, that may be associated with a Yutaka NFT.
NFT means any blockchain-tracked, non-fungible token, including the ones conforming to the ERC-721 standard and other standards, issued and tradable on a blockchain.
Yutaka Trademarks means all logos, trademarks, service marks, and trade dress associated with Yutaka, Yutaka NFTs, Yunero Studios, or any other names relating to Yutaka’s characters/products/services provided by us.
Yunero Studios, us, we, or our means Yunero Studios or its affiliates.
You, owner, or your means a lawful owner of Yutaka NFT. In case of transfer of ownership (resell or transfer), the recipient becomes the new lawful owner of that NFT.
LICENSE
Yutaka NFT Art Licenses. By acquiring the purchased NFT or related Art in any way whatsoever, you are hereby acknowledged as having read and agreed to all contents, terms, and conditions of this agreement. Yunero Studios grants you, the lawful owners of Yutaka NFT, the following intellectual property rights:
A worldwide, non-exclusive, royalty-free, personal license to use, reproduce, display, modify, broadcast, promote, and create derivative works of the Yutaka NFT Art for any Yutaka NFT that you own, privately or publicly, for personal, non-commercial purposes personal, non-commercial purposes. This includes but is not limited to display on social media platforms, digital galleries, or otherwise on the Internet.
A worldwide, non-exclusive, royalty-free, sub-licensable (but only to service providers assisting you with a Commercial Use) license to use, copy, reproduce, duplicate, and display the Yutaka NFT Art for your Yutaka NFT for any Commercial Use. This does not include the right to create derivative works of the Yutaka NFT Art excluding as required to adapt and depict the Yutaka NFT Art in or on the products or media created under this license, or as otherwise instructed in the “Trademarks and others” section beneath. However, this license does allow you to mint and make new NFTs and NFT projects based on your Yutaka NFT Art for Yutaka NFTs that you own, provided that you don't use the Yutaka Trademarks on, or promote those NFTs. If we collaborate with third parties to create Yutaka NFTs, which comprise images, artwork, design, works of authorship, logos, trademarks, service marks, or trade dress owned by a third party, the license in this section does not extend to any Yutaka NFT or Yutaka NFT Art containing Third Party Content. You may not use, copy, reproduce, display, create derivative works of, or create new NFTs based on such Third Party Content for any Commercial Use, unless we or the relevant third parties expressly give our consent in writing or through public announcement.
Trademarks and others
When using the Art, in any way whatsoever, including but not limited to its publication, display, and/or promotion, you shall not use the trademarks, service marks, logos, or proprietary words or symbols of Yutaka Trademarks, which belong to Yunero Studios. You may only use Yutaka Trademarks for Commercial Use if given our permission in writing or through a public announcement. This includes registering any domain names or social media accounts using Yutaka Trademarks or any Yutaka Trademark that may be shown in the Yutaka NFT Art for your Yutaka NFT. You may not remove, delete or cover any trademark/copyright notice, or other intellectual property notice in any Yutaka NFT and Yutaka NFT Art.
The licenses granted above are non-transferable unless you sell or transfer your Yutaka NFT. Then, you will no longer be granted the licenses in the Yutaka NFT Art, and that license will transfer to its new owner of the Yutaka NFT associated with such Yutaka NFT Art. In association with any sales, transfers, or any other form of transferring the ownership of the Yutaka NFTs, the transferee agrees that by buying, accepting, or acquiring the Yutaka NFT, they shall be considered to accept the terms of this License.
Restrictions. You may not use the Yutaka NFT Art in any way that includes illegal, defamatory, harassing, offensive, deceitful, racist, sexist, hostile, or indecent activity, or any way that promotes any such activity. Such use shall not, in any way whatsoever, harm or adversely affect the Creator - Yunero Studios or the author’s reputation.
Termination of license. If you breach any provision in this Agreement, all licenses granted by Yunero Studios will be terminated automatically. Upon the termination of your licenses, you have to cease all promotion, distribution, or sale of goods, services and media that feature the Yutaka NFT Art and also cease all further use of the Yutaka NFT Art.
Updating. We may update this license from time to time. If modifications are made, we will use appropriate efforts to notify you, such as putting a notice on the first page of our website, and an announcement on our social media channels. Nonetheless, it is your sole responsibility to review this License from time to time to view any modifications. Your continued access or use of the Yutaka NFTs or Yutaja NFT Art after the License has been updated will be deemed your acceptance of the modified License.
Disclaimers
Your access to and use of the Yutaka NFT and Yukata NFT Art is at your own risk. You understand and agree that the Yutaka NFT and Yukata NFT Art are provided to you on an as-is and as-available basis. The Yutaka NFT is created for consumer enjoyment, use, and consumption only so we will not be responsible for any failure to store , resale, or transmit the Yutaka NFT and Yutaka NFT Art or the deletion of such NFTs.
